New York, NY–(November 19, 2014) – Palladium Capital Advisors, LLC today announced that it acted as placement agent for Optex Systems Holdings, Inc. in its $1,550,000 private offering of convertible promissory notes.

The offering allows for a second closing, to occur no later than 30 days from November 17, 2014, for the balance of the $2.1 million aggregate amount of the offering.  The Notes bear interest at a rate of 12% per annum and mature two years after the date of the issuance.  The Company may pay interest due either in cash or, at its option, through stock.  The Notes are convertible at the option of the Investors at any time into shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”) at a conversion price equal to $.0025 per share.  All or part of the then remaining principal amount of the Notes may be prepaid at any time at a price equal to 125% of the sum of the remaining principal amount of the Notes to be prepaid plus all accrued and unpaid interest thereon.  The Agreement also requires the Company to effect a 1:350 reverse split of its common stock no later than 90 days from November 17, 2014.
